This guide comprehensively addresses all the essential aspects of establishing a foreign-invested company in Hainan.
Qualified Applicants
Qualified applicants encompass natural persons, enterprise legal persons, public institution legal persons, social organization legal persons, unincorporated organizations, administrative organs and other organizations.
Basic Requirements
Limited liability companies and joint stock limited companies are eligible to apply.
To qualify as a limited liability company, the following criteria must be met:
1. The number of shareholders complies with the statutory requirements.
2. There is a subscribed capital contribution from all shareholders in accordance with the company's articles of association.
3. The shareholders jointly formulate the company's articles of association.
4. The company has a name and establishes an organizational structure that meets the requirements of a limited liability company.
5. The company has a registered address.
A joint stock limited company must meet the following conditions:
1. The number of initiators complies with the statutory requirements.
2. There is a total subscribed share capital or a raised paid-up share capital that complies with the company's articles of association.
3. The issuance of shares and preparatory matters comply with legal provisions.
4. The initiators formulate the company's articles of association, which are approved by the founding meeting if established by public subscription.
5. The company has a name and establishes an organizational structure that meets the requirements of a joint stock limited company.
6. The company has a registered address.
